Terms of Service
These terms govern your use of RxStockLink, an order-taking service for pharmaceutical distributors operated by Maitrivihara Technologies Private Limited ("we", "us"). By creating an account or using the service, you agree to them. If you are accepting on behalf of a business, you confirm you are authorised to do so.
1. What RxStockLink does
RxStockLink receives orders sent to us by your retail customers ("chemists") over WhatsApp, interprets them, matches them against the stock list you provide, and presents them to you for review. It also produces GST invoices, maintains sale records, tracks credit balances, and records stock movement by batch.
RxStockLink is a record-keeping and communication tool. We are not a party to any sale between you and a chemist. We do not stock, handle, transport, sell or distribute drugs, we do not hold any licence under the Drugs and Cosmetics Act, 1940, and we do not act as your agent or as a commission agent.
2. Licensing and compliance under the Drugs and Cosmetics Act
No order is dispatched by RxStockLink. Every order waits for you to confirm it. You alone decide what is supplied, to whom, and on what terms.
You confirm that you hold and will maintain the licences required for wholesale distribution under the Drugs and Cosmetics Act, 1940 and the Drugs and Cosmetics Rules, 1945 — including as applicable a licence in Form 20B and Form 21B, a Form 20F / 21F licence for Schedule X drugs, and any licence required under the Narcotic Drugs and Psychotropic Substances Act, 1985.
You are responsible for complying with those laws in full, including in particular:
- Rule 65(5) — supplying drugs only to a person holding the requisite licence or otherwise entitled to receive them, and satisfying yourself of that entitlement before supply.
- Schedules H, H1 and X — restrictions on prescription-only drugs, including the separate Schedule H1 register and its three-year retention, and the separate records and storage required for Schedule X drugs.
- Rule 65(4) — supply under the personal supervision of a registered pharmacist or other competent person where required.
- Storage, cold chain, labelling, recall and reporting obligations, and any conditions attached to your own licences.
RxStockLink may store schedule information you enter and help you produce registers and memos, but it does not verify prescriptions, does not verify that a chemist holds a valid licence, and does not determine whether a particular supply is lawful. Those determinations are yours, and you make them when you confirm an order.
Automatic interpretation of speech, handwriting and abbreviations is not perfect. You must check the drug name, strength, form, quantity, batch, expiry and price on every order before confirming it.
3. Invoices, memos and records
RxStockLink generates a cash or credit memo and tax invoice for each confirmed order and populates the particulars required by Rule 65(5)(b) of the Drugs and Cosmetics Rules, 1945 — including your name, address and licence number, the date, the name of the drug, its batch number and expiry date, and the quantity supplied — together with the particulars required by Section 31 of the Central Goods and Services Tax Act, 2017 and Rule 46 of the CGST Rules, 2017, including HSN codes and the applicable CGST, SGST or IGST.
These documents are generated from the data you provide. You remain responsible for their accuracy and for issuing them, and for:
- keeping sale and purchase records for the period required by the Drugs and Cosmetics Rules, and producing them for inspection by a Drugs Inspector;
- retaining books of account and records for the period required by Section 36 of the CGST Act, 2017;
- complying with e-invoicing and e-way bill requirements where your turnover or consignment value makes them applicable;
- correct classification, HSN codes and tax rates. Any rate suggested by RxStockLink is a default for convenience only — the rate you set on an item always overrides it, and you should confirm classifications with your tax adviser.
4. The supply is between you and your chemist
Every sale arranged through RxStockLink is a contract between you, as the supplying distributor, and the chemist as the buyer. Maitrivihara Technologies Private Limited is not a party to it, is not a buyer, seller, agent, broker, commission agent, e-commerce operator or marketplace in relation to that supply, and takes no title to, possession of, or responsibility for any goods.
Accordingly, and as between you and the chemist:
- GST is your liability, not ours. You are the supplier for the purposes of the Central Goods and Services Tax Act, 2017 and the corresponding State and Integrated GST legislation. Charging the correct rate, determining the place of supply, issuing a valid tax invoice or credit note, filing returns, discharging output tax, and reporting through e-invoicing or e-way bills where applicable are entirely your obligations. We do not collect tax on your behalf, do not remit it, and are not liable for any tax, interest or penalty arising from your supplies.
- Input tax credit. Whether the chemist can claim input tax credit depends on your invoice and your return filings. We make no representation about it, and any loss of credit to the chemist is a matter between you and them.
- Billing accuracy. Invoices, memos, statements and registers are generated from data you enter and confirm. You issue them and you are responsible for their accuracy and completeness. Where you find an error, you must correct it directly with the chemist by credit note, debit note or revised invoice.
- Regulatory obligations run between you and the chemist. Verifying that the chemist holds a valid licence and is entitled to receive what you supply, satisfying Schedule H, H1 and X requirements, maintaining prescribed registers and retaining them for the prescribed periods, handling recalls, returns and expired stock, and reporting to the licensing authority are your responsibilities as the licensee. Corresponding obligations on the chemist's side are theirs. We are not responsible for either party's compliance.
- Payment and credit. Prices, credit terms, khata balances, collection and any dispute about payment are matters between you and the chemist. RxStockLink records what you tell it; it does not guarantee, underwrite, collect or recover any amount, and takes no responsibility for a chemist's failure to pay.
- Delivery and quality. Dispatch, transport, storage conditions, shortages, damage, expiry and product quality are between you and the chemist. RxStockLink has no role in the physical movement of goods.
Nothing in RxStockLink — including an order shown as confirmed, an invoice it generates, a stock figure or a suggested tax rate — constitutes tax, legal or regulatory advice, or a confirmation that a supply is lawful or correctly taxed. Please rely on your own chartered accountant and legal adviser.
5. What RxStockLink is not a substitute for
RxStockLink assists with record-keeping. It does not replace the statutory records, professional judgement or physical checks that the law requires of you. In particular:
- Statutory registers and records. Registers, memos and reports produced by RxStockLink are a convenience generated from data you entered. They are not certified statutory records. You remain responsible for maintaining the registers prescribed by the Drugs and Cosmetics Rules, 1945 — including the Schedule H1 register and Schedule X records — in the prescribed form, with the prescribed particulars and signatures, and for retaining them for the prescribed periods and producing them on inspection. Satisfy yourself that what RxStockLink produces meets your licensing authority's requirements before relying on it.
- Books of account. Khata balances, statements and reports are an operational record, not books of account under the Companies Act, 2013, the Income-tax Act, 1961 or Section 35 of the CGST Act, 2017. Maintain your accounts through your accountant and accounting software.
- Professional judgement on substitution. Where a brand you do not stock is requested, RxStockLink may show other items in your catalogue recorded as sharing the same molecule and strength. This is a stock-matching convenience based on the data available to it. It is not a statement of therapeutic equivalence, bioequivalence or clinical interchangeability, and it is not a recommendation to substitute. Any decision to supply a different product rests with you and the chemist, exercising the professional judgement of a qualified person, and neither of you should treat a suggestion in RxStockLink as clearing that decision.
- Product data. Molecule, strength, form, schedule, manufacturer and HSN information may come from third-party databases or be inferred automatically, and may be incomplete or wrong. It is not a substitute for the manufacturer's label, pack insert or your own verification.
- Physical stock and expiry. Stock figures, batch allocations and expiry alerts reflect what has been entered and what the software has calculated. They are not a substitute for physical stock verification, physical inspection of batches and expiry dates before dispatch, or your own expiry, recall and destruction procedures.
- Tax classification. HSN codes and GST rates suggested by RxStockLink are defaults for convenience only, are not tax advice, and may not suit your goods. Confirm classifications and rates with your chartered accountant; the rate you set always overrides any suggestion.
- Reading orders. Voice notes, handwriting and abbreviations are interpreted automatically and imperfectly. A drug name, strength or quantity may be misread. Nothing in RxStockLink removes your obligation to verify the order before supplying it.
- Invoice numbering. RxStockLink issues invoice numbers in sequence per financial year. You remain responsible for maintaining a consecutive serial number series as required by Rule 46 of the CGST Rules, 2017, and for reconciling and reporting your invoices.
- Prescriptions. RxStockLink does not receive, read, validate or store prescriptions, and performs no check that a supply is supported by one.
Where any output of RxStockLink conflicts with a physical document, a manufacturer's label, a statutory register or your professional judgement, the latter prevails.
6. Prices
You set all prices in RxStockLink. You are responsible for complying with the Drugs (Prices Control) Order, 2013, including not exceeding the ceiling price fixed by the National Pharmaceutical Pricing Authority for any scheduled formulation, and observing permitted annual increases for non-scheduled formulations. RxStockLink does not check prices against NPPA ceilings.
7. Electronic records and communications
Orders, confirmations, memos and invoices created through RxStockLink are electronic records, and are recognised as valid under the Information Technology Act, 2000. You agree to receive communications from us electronically. You are responsible for retaining and, where required, printing or signing documents in the form your regulators expect.
8. Your account
- Give accurate business details, including your GSTIN and drug licence numbers and their validity dates, and keep them current.
- Keep your sign-in credentials secure. Activity through your account is treated as yours.
- Tell us promptly if you believe your account has been used without your permission, or if any licence of yours is suspended, cancelled or not renewed.
- One subscription covers one distribution business at one licensed premises group. Sharing access with another business requires a separate subscription.
9. Your data and your catalogue
Your stock list, prices, orders, invoices, customer records and the messages your chemists send remain yours. We store and process them to run the service for you, as described in our Privacy Policy, and in accordance with the Digital Personal Data Protection Act, 2023. In relation to personal data of your chemists, you are the Data Fiduciary and we act as a Data Processor on your instructions.
You can export your catalogue and records at any time. If you close your account, you may request an export within 30 days. We will retain what we are required to retain by tax or pharmaceutical record-keeping law, and delete the rest.
10. Fees
- Subscription fees are shown on our pricing page and are exclusive of GST unless stated otherwise. GST will be charged at the applicable rate.
- Plans are billed in advance, monthly or annually. Annual plans are charged for ten months.
- Free trials run for the stated period and convert to a paid plan only if you choose one.
- Fees already paid are not refundable, except where Indian law requires otherwise. You can cancel at any time and keep access until the end of the period you have paid for.
- We may change prices with at least 30 days' notice. Changes take effect at your next renewal.
11. Plan limits
Plans include limits on connected chemists and monthly orders. If you exceed them we will tell you in the dashboard and ask you to move to a larger plan. We will not silently drop your chemists' orders because of a limit.
12. Acceptable use
- Use the service only for your lawful wholesale pharmaceutical business.
- Do not use it to offer or supply drugs to the general public, to anyone not entitled to receive them under Rule 65(5), or in breach of any law.
- Do not use it for narcotic or psychotropic substances except in strict compliance with the NDPS Act, 1985 and the licences you hold.
- Do not upload material you have no right to use, or attempt to access another business's data.
- Do not attempt to disrupt, reverse engineer, or place unreasonable load on the service.
We may suspend an account that breaches these terms, that appears to be operating without a valid licence, or that puts other users or us at legal risk. Where practical we will tell you first.
13. WhatsApp and other third parties
RxStockLink depends on services we do not control, including WhatsApp (Meta), payment gateways, cloud hosting and speech recognition providers. We are not responsible for their availability, and interruptions to them may interrupt RxStockLink.
Messaging through RxStockLink is subject to Meta's WhatsApp Business Messaging Policy, Commerce Policy and Business Terms, in addition to these terms. You agree that:
- Consent. A chemist is messaged only after they start the conversation, normally by scanning your QR code. You will not add chemists who have not agreed to be contacted, and you will not use RxStockLink to send unsolicited or promotional messages.
- Opting out. Any chemist can reply STOP at any time. We will stop messaging that number immediately and keep that record; they can reply START to resume. You must not attempt to contact a chemist through RxStockLink after they have opted out.
- Identity. Messages identify RxStockLink and the distributor the order is for. You will not misrepresent who you are.
- Content. RxStockLink is for wholesale ordering between licensed businesses. It must not be used to advertise or offer medicines to the general public, which Meta's Commerce Policy restricts.
- Service window. Meta allows free-form replies only within 24 hours of a chemist's message. Outside that window only approved message templates can be sent, which may delay a notification.
Meta may change its policies or suspend access to the WhatsApp Business Platform. If that happens we will tell you and, where possible, offer an alternative, but we cannot guarantee continued WhatsApp delivery.
14. Availability and force majeure
We work to keep RxStockLink available, but we do not guarantee uninterrupted service. We may take it down for maintenance, and will try to do so outside business hours. Messages sent while the service is unavailable may be delayed or, in rare cases, not received; you should follow up by telephone for anything urgent.
Neither party is liable for failure to perform caused by events beyond its reasonable control, including network or power failure, acts of government or regulators, epidemic, natural disaster, or failure of a third-party platform.
15. Indemnity
You will indemnify us against claims, penalties and reasonable costs arising from your supply of drugs, your regulatory or tax non-compliance, the accuracy of documents you issue, or your breach of these terms. This does not apply to the extent a claim arises from our own breach or negligence.
16. Liability
Nothing in these terms limits liability that cannot be limited under Indian law, including for fraud or for death or personal injury caused by negligence.
Subject to that, we are not liable for indirect or consequential loss, loss of profits, loss of goodwill, regulatory penalties, or loss arising from your reliance on an order, invoice, price or stock figure you did not check. Our total liability in any twelve-month period is limited to the subscription fees you paid us in that period.
17. Ending the agreement
You may cancel at any time from your dashboard. We may end this agreement on 30 days' notice, or immediately if you materially breach these terms or cease to hold a valid licence. On termination your access stops and, after the export window in clause 7, your data may be deleted subject to our retention obligations.
18. Changes to these terms
We may update these terms. If a change materially affects you, we will give notice in the dashboard or by email before it takes effect. Continuing to use RxStockLink after that means you accept the updated terms.
19. Governing law and disputes
These terms are governed by the laws of India and form a contract under the Indian Contract Act, 1872. The parties will first attempt to resolve any dispute in good faith. Failing that, the dispute will be referred to arbitration by a sole arbitrator under the Arbitration and Conciliation Act, 1996, seated at Hyderabad, Telangana, conducted in English. Subject to that, the courts at Hyderabad, Telangana have exclusive jurisdiction.
20. Grievance officer
In accordance with the Information Technology Act, 2000 and the rules made under it, and the Digital Personal Data Protection Act, 2023, complaints may be addressed to our Grievance Officer at [email protected]. We will acknowledge a complaint within 24 hours and aim to resolve it within 15 days.
